About These Terms These Terms and Conditions ("Terms") govern your use of Barestate's software, applications, and related services (collectively, the "Services"). The Services are provided by Barestate ("Barestate," "we," "us," or "our"). By accepting these Terms or using the Services, you agree to be bound by them. If you do not agree, you must not use the Services. If you use the Services on behalf of a business or other organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you and Barestate enter into a separate written agreement, that agreement controls to the extent it conflicts with these Terms. ## 2. Eligibility and Account Security You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. Where an account is required, you must provide accurate information and protect your credentials. You are responsible for activities you authorize through your account and for promptly reporting suspected unauthorized access. ## 3. Permission to Use the Services Subject to these Terms and any applicable purchase agreement, we grant you a limited, non-exclusive, non-transferable right to use the Services for your personal or internal business purposes. You may use Barestate in connection with lawful commercial activities, including evaluations, demonstrations, and integrations, within the scope of your plan or agreement. You must not: - Use the Services for unlawful, fraudulent, deceptive, or abusive activities. - Access devices, accounts, applications, or information without appropriate authorization. - Infringe intellectual property rights or violate another person's privacy or other legal rights. - Introduce malware, disrupt the Services, or circumvent security controls or applicable usage limits. - Reverse engineer the Services except to the extent permitted by applicable law or an applicable open-source license. - Resell, sublicense, or redistribute the Services without our written authorization. ## 4. AI Features and Automated Actions Barestate may use artificial intelligence to interpret instructions, generate outputs, or perform actions on your device. AI outputs and automated actions may contain errors, produce unexpected results, or fail to complete a task. You are responsible for reviewing outputs and deciding whether to authorize actions, particularly actions involving payments, communications, account changes, or important files. You must have permission to use any connected account, application, or information. When you enable an automated feature, you authorize Barestate to perform actions within the instructions and permissions you provide. You can manage access through available application controls and your device's permission settings. The Services do not replace professional legal, medical, financial, or other advice. They should not be the sole basis for decisions that materially affect a person's health, safety, finances, or legal rights. ## 5. Your Content and Privacy You retain ownership of the prompts, files, screenshots, messages, and other materials you process through Barestate ("Your Content"). These Terms do not transfer ownership of Your Content to Barestate. You authorize the processing of Your Content on your device as needed to perform the tasks you request. If you choose to connect a third-party tool or service, you authorize the transfer of information needed for that integration, subject to your instructions and permissions. Barestate operates with zero retention of user application data. Our handling of that data is described in the [Barestate Privacy Policy](https://barestate.xyz/privacy-policy). Third-party tools you choose to use have their own terms, privacy policies, and retention practices. You represent that you have the rights and permissions needed to process Your Content. Any rights you may have in generated outputs are subject to applicable law and third-party rights. Outputs may not be unique. ## 6. Third-Party Tools and Services You may connect Barestate to independently provided applications, AI tools, or other services. Their terms, charges, usage limits, and privacy policies apply to your use of those services. You are responsible for maintaining any required third-party accounts and permissions. We do not control third-party services and do not guarantee their availability or performance. Nothing in these Terms excludes responsibilities that applicable law places on Barestate. ## 7. Fees, Billing, and Cancellation If you purchase a paid plan, we will disclose its price, billing interval, applicable usage limits, and any additional charges before purchase. You agree to pay the charges you authorize and any applicable taxes, excluding taxes on our net income. Subscriptions renew automatically only where that renewal arrangement is disclosed and accepted at purchase. You may cancel using the method provided at purchase or in your account. Unless stated otherwise, cancellation takes effect at the end of the current billing period. Refunds are governed by the terms disclosed at purchase and applicable law. We will give notice of subscription price changes before they take effect, allowing you to cancel before renewal at the new price. ## 8. Intellectual Property Barestate and its licensors retain ownership of the Services, including their software, design, trademarks, and documentation, excluding Your Content and third-party materials. Open-source components are governed by their respective licenses. These Terms do not restrict rights granted to you under those licenses. If you voluntarily provide suggestions or feedback, you permit us to use them to improve the Services without compensation or an obligation to implement them. This permission does not authorize use of Your Content for model training. ## 9. Availability and Changes We may update the Services to improve functionality, security, or reliability. Experimental or beta features may change or be discontinued. If we discontinue a paid Service or materially reduce its core functionality during a prepaid term, we will provide reasonable notice where practicable and an appropriate remedy, which may include a proportionate refund for the unused portion of that term. ## 10. Suspension and Termination You may stop using the Services at any time. Stopping use does not automatically cancel a paid subscription; cancellation must follow the applicable billing process. We may suspend or terminate access for a material breach of these Terms, unpaid fees, a security threat, or a legal requirement. Where practical, we will provide notice and a reasonable opportunity to resolve the issue. Immediate suspension may be necessary to address an active security threat or comply with law. Termination does not affect obligations incurred before termination. Provisions that by their nature should survive, including intellectual property, liability limitations, and dispute provisions, remain effective. ## 11. Disclaimers To the fullest extent permitted by law, the Services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted availability, error-free operation, the accuracy of AI outputs, or successful completion of every automated task. Nothing in these Terms excludes statutory rights or warranties that cannot legally be excluded. ## 12. Limitation of Liability To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities, arising from these Terms or the Services. Each party's aggregate liability arising from these Terms or the Services will not exceed the greater of **US$100** or the amount paid or payable by you to Barestate for the Services during the **12 months preceding the event giving rise to the claim**. These limitations do not apply to fraud, willful misconduct, your obligation to pay agreed fees, or any liability that applicable law prohibits limiting. A separate written agreement may establish different liability terms. ## 13. Governing Law and Disputes These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. Subject to mandatory rights under applicable law, disputes will be brought in the state or federal courts located in Delaware, and each party consents to those courts' jurisdiction. ## 14. Changes to These Terms We may revise these Terms and will publish the revised version with an updated date. For material changes, we will provide reasonable advance notice where practical and obtain acceptance where required by law. Changes apply prospectively and do not override an existing signed agreement unless that agreement permits the change. ## 15. General Provisions These Terms, together with applicable purchase terms and any separate written agreement, constitute the agreement between you and Barestate concerning the Services. If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision does not waive the right to enforce it later. These Terms do not create a partnership, agency, or joint venture between you and Barestate. ## 16.
